SALES TERMS AND CONDITIONS

These Sales Terms and Conditions (“Agreement”) govern all sales of goods (“Goods”) and the provision of any related services (“Services”), including but not limited to design, assembly, kitting, and material handling, by Circuit Holdings LTD and its affiliated brands, including Circuit Solar, Circuit Sensors, Circuit Weather, and The Off-Grid Solar (collectively referred to as “Circuit Solar™,” “we,” “our,” or “us”) to any customer (“Buyer,” “you,” or “your”).

By placing an order, requesting a quote, accepting delivery of Goods, or using our Services, you agree to be legally bound by this Agreement in full. This Agreement replaces and supersedes any prior or contemporaneous agreements, discussions, or understandings, whether written or oral.

1. GENERAL TERMS

1.1 Entire Agreement – This Agreement constitutes the complete and exclusive contract between Circuit Weather™ and Buyer.

1.2 Conflicting Terms – Any terms in Buyer’s purchase orders, acknowledgments, or other documents that conflict with this Agreement are null and void unless expressly agreed in writing by an authorized Circuit Weather™ representative.

1.3 Modifications – No employee, agent, or representative of Circuit Weather™ has authority to verbally amend or waive this Agreement. All changes must be made in writing and signed by an authorized Circuit Weather™ representative.

2. PRICING AND QUOTES

2.1 Eligibility – Quotes may be requested for bulk orders, business/government/wholesale purchases, large-scale installations, ongoing supply agreements, or products/services requiring custom specifications.

2.2 Requirements – Quote requests must include contact details, product SKUs/descriptions, quantities, shipping address, and any customization or project requirements.

2.3 Processing Time – Standard quotes are processed within 1–3 business days. Complex/custom quotes may take longer.

2.4 Validity – Quotes are valid for 15 days unless otherwise stated. Pricing is subject to change without notice due to stock, supplier, material cost, currency, or location changes. Stock is not reserved for quoted items.

2.5 Payment for Quotes – Accepted quotes require full payment. Accepted payment methods include credit/debit card, EFT/ACH, and e-Transfer (Canada). Special terms require written approval.

2.6 Shipping in Quotes – Where applicable, quotes will include estimated shipping costs, lead times, and options.

2.7 Changes & Cancellations – Modifications may be requested before acceptance, subject to price adjustments. Once accepted and paid, orders cannot be canceled unless Circuit Weather™ agrees in writing.

3. PRICE MATCH POLICY

3.1 Eligibility – Price matches apply to identical new products from authorized Canadian retailers, publicly advertised, valued at $150+ CAD before taxes/shipping, requested before purchase completion.

3.2 Exclusions – No matches for Amazon, clearance/liquidation, bundles, promotions, membership discounts, used/refurbished/open-box items, or typographical errors.

3.3 Request Process – Contact Circuit Weather™ before purchase with proof (URL or printed ad).

3.4 Verification – Circuit Weather™ will verify eligibility. Approval is at Circuit Weather™’s discretion.

3.5 Limitations – One price match per identical product per customer. Cannot be combined with Circuit Weather™ offers.

4. PAYMENT POLICY

4.1 Accepted Methods – Credit/debit (Visa, MasterCard, Amex) — 5% processing fee for orders over $15,000; e-Transfer (Canada); Affirm (10% fee, subject to approval); EFT/ACH.

4.2 Terms – Payment in full at purchase unless otherwise agreed in writing. POs do not imply credit unless approved.

4.3 Currency – All prices in CAD unless otherwise noted. Currency conversion/bank fees are Buyer’s responsibility.

4.4 Taxes & Duties – Prices exclude applicable taxes/duties. Buyer is responsible for all import costs.

4.5 Security – Payments are processed securely. See Privacy Policy.

4.6 Issues – Payment failures must be resolved within 5 business days or order may be canceled.

4.7 Refunds/Chargebacks – Refunds follow Return Policy. Unauthorized chargebacks may suspend future transactions.

4.8 Wholesale – Wholesale terms may be available upon approval.

5. CUSTOMER PICKUP POLICY

5.1 Eligibility – Available for eligible orders only, pre-arranged with Circuit Weather™.

5.2 Processing – Requires 2 business days after payment. Confirmation email includes pickup details.

5.3 Locations – Vancouver, BC; Edmonton, AB; Calgary, AB; Stratford, ON; Dartmouth, NS.

5.4 Hours – Provided upon confirmation. Off-hours pickup requires written approval.

5.5 Holding Time – Orders held max 7 days. After that, canceled with 35% restocking fee.

5.6 ID Verification – Government-issued ID matching order name required. Third-party pickup requires prior email authorization.

5.7 Inspection – Buyer must inspect items at pickup. Acceptance confirms satisfactory condition.

5.8 Cancellations – Pre-pickup cancellations incur 35% restocking fee.

6. SHIPPING POLICY

6.1 Destinations – Ships to Canada & USA unless otherwise specified.

6.2 Processing – 1–3 business days after payment; weekends/holidays processed next business day.

6.3 Methods – Canada Post, USPS, Purolator, FedEx, UPS, Loomis Express, Canpar, Day & Ross.

6.4 Costs – Calculated at checkout. Oversize/bulk may incur extra fees.

6.5 Tracking – Sent via email upon shipment.

6.6 Customs/Duties – Buyer responsible for import fees/delays.

6.7 Restrictions – No P.O. boxes for certain items. Hazardous goods may have limits.

6.8 Risk of Loss – Title and risk pass to Buyer upon carrier acceptance or pickup.

6.9 Loss/Damage Claims

  • Inspect at delivery before signing BOL. 
  • Note damage on BOL, take photos, and notify Circuit Weather™ within 48 hours (10 days if Extended Insurance purchased). 
  • Retain packaging for inspection. 
  • Small panel orders (<4) not covered by standard warranty. 

6.10 Extended Insurance – Optional, covers up to 10 days post-delivery, small orders, priority claims, and supplemental compensation.

6.11 Returns & Costs – See Return Policy. Buyer pays return shipping unless Circuit Weather™ is at fault.

7. RETURN POLICY

7.1 Eligibility – Within 30 days, unused, in original packaging with proof of purchase. 35% restocking fee applies.

7.2 Non-Returnable – Solar panels, batteries, orders over $10k, custom/special orders, final sale, opened consumables, misused/damaged goods.

7.3 Process – Contact support with order number, item(s), and reason. Use trackable return shipping.

7.4 Exchanges – Same process as returns.

7.5 Refunds – Processed within 10 business days to original payment method. Shipping is non-refundable unless Circuit Weather™ error.

7.6 Defective/Damaged – Must report within 48 hours with photos. Solar panel replacements are one-for-one; no further replacement if replacement is damaged in shipping. Cosmetic issues not affecting performance may be denied.

7.7 International Returns – Buyer responsible for all costs.

7.8 Cancellations

  • “Received” — cancel anytime before warehouse acceptance. 
  • “Processing” — cancel only if not shipped; 3.5% credit card fee applies. 
  • Shipped or picked up — no cancellation; standard return terms apply. 

8. FORCE MAJEURE

Circuit Weather™ is not liable for delays or failures due to events beyond its control, including natural disasters, strikes, carrier delays, supply chain issues, or government actions.

9. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Circuit Weather™’s total liability shall not exceed the purchase price of the goods/services giving rise to the claim.

10. INDEMNIFICATION

Buyer agrees to indemnify and hold harmless Circuit Weather™ from any claims, damages, or expenses arising from Buyer’s misuse, resale, or modification of products.

11. GOVERNING LAW & JURISDICTION

This Agreement is governed by the laws of the Province of British Columbia, Canada. Any disputes shall be resolved exclusively in the courts located in British Columbia.

12. SEVERABILITY

If any provision of this Agreement is found unenforceable, the remaining provisions remain in full effect.
